Pingura Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Pingura website, platform, APIs, and related services (collectively, the “Service”), provided by Pingura (“we,” “our,” or “us”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

To use Pingura, you must be at least 18 years old and legally capable of entering into a binding agreement. By using the Service, you represent that you meet these requirements.

3. Description of Service

Pingura provides online tools for network and device monitoring, including uptime checks, performance analytics, and alert notifications. We may modify, enhance, or discontinue any part of the Service at any time with or without notice.

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account.

4. Account Registration and Security

You must register for an account to use most Pingura features. When registering, you agree to provide accurate and complete information and to keep it up to date.

You are responsible for securing your credentials and notifying us immediately if you suspect unauthorized access. We are not liable for losses resulting from unauthorized account use.

5. Acceptable Use

You agree not to misuse the Service. Prohibited activities include, but are not limited to:

• Using the Service for unlawful or fraudulent purposes
• Attempting to probe, scan, or test system vulnerabilities
• Interfering with or disrupting Service operations
• Transmitting malware, spam, or harmful code
• Accessing or attempting to access another customer’s data without authorization

We reserve the right to suspend or terminate your access if you violate these restrictions.

6. Customer Data and Credentials

When you configure monitors that include connection strings, database credentials, or API tokens, those details are encrypted both in transit and at rest. We do not share these credentials with any third party and only access them as necessary to provide the Service.

You retain all ownership rights to your data. By using Pingura, you grant us a limited license to process and store your data solely for the purpose of operating and maintaining the Service.

7. Subscription Plans and Payments

Pingura offers both free and paid subscription tiers. Paid plans require valid payment information. By subscribing, you authorize us and our payment processor to charge recurring fees in accordance with your selected plan.

Subscription fees are non-refundable except as required by law. You may cancel your subscription at any time, and your cancellation will take effect at the end of the current billing period.

8. Service Availability and Maintenance

We aim to provide continuous availability of the Service but do not guarantee uninterrupted or error-free operation. Maintenance, upgrades, or network issues may cause temporary interruptions.

Pingura will make reasonable efforts to notify users of planned maintenance or significant disruptions.

9. Intellectual Property

All intellectual property rights in the Service, including software, content, trademarks, and documentation, remain the exclusive property of Pingura and its licensors.

You are granted a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not copy, reverse engineer, or modify any part of the Service without our written consent.

10. Third-Party Services

Pingura may integrate with third-party services or APIs. Your use of such third-party integrations is governed by their respective terms and privacy policies. We are not responsible for the actions or failures of any third-party provider.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the maximum extent permitted by law, Pingura shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.

Our total liability for any claim related to the Service shall not exceed the total amount paid by you to Pingura during the three (3) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Pingura, its affiliates, and employees from any claims, damages, or expenses (including attorney’s fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to Pingura, its users, or third parties.

Upon termination, your right to use the Service will immediately cease, and your data may be deleted in accordance with our data retention policies.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Anderson County, Tennessee.

16. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated through the website or by email. Continued use of the Service after updates constitutes acceptance of the revised Terms.
